Partner Introduction Disclosure
This Partner Introduction Disclosure explains DwellSoul's role when it introduces users to independent third-party professionals, including real estate agents, financing professionals, tradition consultants, designers, contractors, and other home-service providers. It also explains how DwellSoul may be compensated by different types of Partners.
DwellSoul may, from time to time, make available information about independent third-party professionals, including tradition-aware real estate agents, lenders or financing professionals, feng shui, pungsu, phong thủy, or other tradition consultants, designers, staging professionals, contractors, remodelers, landscapers, and other home-related service providers. Each such third-party provider is referred to in this disclosure as a “Partner.”
This Partner Introduction Disclosure explains DwellSoul's role, how DwellSoul may be compensated, and the limits of DwellSoul's responsibility.
1. DwellSoul is not a brokerage, lender, or professional advisor.
DwellSoul is not a real estate brokerage, mortgage lender, mortgage broker, loan originator, escrow company, title company, appraisal company, inspection company, construction contractor, law firm, financial advisor, tax advisor, or other licensed professional advisory service.
DwellSoul's readings, Spirit Scores, property insights, tradition-based observations, reports, platform content, and related materials are provided for informational and educational purposes only. They are not real estate, legal, financial, tax, lending, valuation, appraisal, inspection, engineering, architectural, construction, design, code-compliance, or other professional advice.
You should consult your own licensed professionals regarding your specific circumstances.
2. Partners are independent third parties.
Partners are independent third parties. They are not employees, agents, representatives, partners, joint venturers, franchisees, or contractors of DwellSoul.
DwellSoul does not control, supervise, manage, or direct any Partner's services, advice, communications, recommendations, fees, contracts, negotiations, work quality, professional judgment, licensing compliance, or transaction conduct.
Any services you request from or receive from a Partner are provided solely by that Partner, not by DwellSoul.
3. Real estate, lending, and settlement-related Partners.
Some Partners may be real estate agents, real estate brokers, lenders, mortgage brokers, loan originators, title or escrow providers, appraisers, inspectors, insurance professionals, or other real estate, financing, or settlement-related professionals.
For these Partners, DwellSoul's role is limited to providing Partner information or facilitating an introduction. DwellSoul does not act as your agent, broker, lender, mortgage broker, loan originator, settlement-service provider, or advisor.
DwellSoul does not take loan applications, offer or negotiate loan terms, make credit decisions, underwrite loans, issue loan approvals or pre-approvals, quote binding rates, arrange financing, perform brokerage services, negotiate real estate contracts, list properties, show properties, prepare offers, provide valuation opinions, or provide transaction advice.
Any real estate, lending, financing, insurance, escrow, title, appraisal, inspection, or settlement-service relationship is solely between you and the applicable Partner.
4. Optional tradition, design, and home-service Partners.
Some Partners may offer optional non-real-estate and non-lending services, such as feng shui, pungsu, phong thủy, or other tradition consulting, interior design, staging, landscape design, remodeling, contracting, repair, improvement, or other home-related services.
These services are optional and separate from any real estate purchase, sale, lease, loan, or financing transaction. You are not required to purchase any optional service or work with any Partner in order to use DwellSoul or to proceed with any real estate or financing transaction.
DwellSoul does not provide, supervise, guarantee, inspect, or warrant any Partner's consulting, design, construction, repair, remodeling, staging, landscaping, or other home-service work. Before engaging any Partner, you should independently verify the Partner's license, insurance, bonding, qualifications, experience, scope of work, price, contract terms, cancellation rights, permits, warranties, and legal compliance.
5. How DwellSoul may be compensated.
DwellSoul may be compensated by Partners in different ways depending on the type of service offered.
A. Real estate, lending, and settlement-related Partners.
For real estate agents, real estate brokers, lenders, mortgage brokers, loan originators, title or escrow providers, appraisers, inspectors, insurance professionals, and other real estate, financing, or settlement-related Partners, DwellSoul may receive a fixed advertising, sponsorship, listing, subscription, or network participation fee.
DwellSoul does not receive or share any real estate commission, broker commission, mortgage broker compensation, lender fee, loan proceeds, origination fee, settlement-service fee, escrow fee, title fee, appraisal fee, inspection fee, insurance commission, or other transaction-based compensation from your dealings with these Partners.
DwellSoul's compensation from these Partners is not based on whether you contact, hire, apply with, obtain financing from, purchase from, sell through, lease through, close a transaction with, or otherwise complete any transaction involving the Partner.
B. Optional tradition, design, and home-service Partners.
For optional non-real-estate, non-lending, and non-settlement services, including tradition consulting, feng shui, pungsu, phong thủy consulting, interior design, staging, landscaping, contracting, remodeling, repair, improvement, or other home-related services, DwellSoul may receive a platform, listing, sponsorship, booking, administrative, marketing, or service fee.
This fee may be a flat fee or may include a percentage of the service provider's fee for the applicable optional non-real-estate, non-lending, and non-settlement service.
Any such compensation is for marketplace access, advertising, platform, booking, administrative, marketing, technology, or other non-real-estate and non-lending services. It is not compensation for a real estate brokerage referral, mortgage referral, loan origination, settlement-service referral, or completed real estate or financing transaction.
C. Separation of compensation.
If a Partner offers more than one type of service, including both regulated real estate or lending services and optional tradition, design, or home services, DwellSoul's compensation, if any, for optional services is limited to the separately described and separately priced non-real-estate, non-lending, and non-settlement service.
DwellSoul does not receive any part of the Partner's real estate commission, mortgage compensation, loan proceeds, origination fee, or settlement-service charges.
6. Paid partner network.
Some Partners pay DwellSoul to participate in the DwellSoul partner network. Partner payment does not guarantee placement, ranking, exclusivity, leads, introductions, transactions, or any particular business outcome.
DwellSoul may present Partners based on factors such as location, service area, language ability, stated tradition fluency, license information provided by the Partner, user preferences, availability, service category, platform operations, and other business or matching criteria.
DwellSoul does not guarantee that a Partner is the best, only, lowest-cost, most qualified, or most suitable professional for you. You are free to work with any real estate agent, lender, financing professional, consultant, designer, contractor, or other service provider you choose, whether or not they participate in the DwellSoul network.
7. Licensing, qualifications, and due diligence.
Partners are responsible for maintaining all licenses, registrations, permits, approvals, insurance, bonding, and qualifications required for the services they provide.
DwellSoul may request license, registration, insurance, qualification, service-area, or tradition-fluency information from Partners and may review publicly available information. However, DwellSoul does not guarantee any Partner's license status, registration status, insurance, bonding, qualifications, experience, professional standing, compliance, suitability, availability, pricing, or performance.
Before engaging any Partner, you should independently verify the Partner's license, qualifications, insurance, bonding, reputation, fees, scope of services, contract terms, and legal compliance.
8. No endorsement or guarantee.
DwellSoul does not endorse, warrant, guarantee, or make any representation about any Partner's services, advice, statements, pricing, availability, credentials, work quality, professional judgment, financing terms, transaction outcome, construction outcome, design outcome, compliance, or results.
Any information about a Partner may be provided by the Partner or obtained from publicly available sources. DwellSoul is not responsible for errors, omissions, outdated information, incomplete information, or changes in a Partner's license status, service area, availability, pricing, insurance, qualifications, or professional standing.
9. Your relationship is solely with the Partner.
If you choose to contact, hire, or work with a Partner, your relationship is solely between you and that Partner.
The Partner's own agreements, disclosures, fees, privacy practices, professional duties, cancellation rights, warranties, insurance, and legal obligations apply to your dealings with them.
DwellSoul is not a party to any agreement, engagement, representation, listing, purchase, sale, lease, loan, financing arrangement, settlement, escrow, title service, appraisal, inspection, consulting service, design service, construction service, remodeling service, repair service, or other transaction between you and a Partner.
10. Information shared for an introduction or service request.
If you ask DwellSoul to connect you with a Partner, DwellSoul may share your name, contact information, location, property-related information, intake responses, stated preferences, service request details, report information, and other information reasonably necessary for the Partner to contact you and understand your request.
This sharing is governed by DwellSoul's Privacy Policy. You should also review the Partner's own privacy policy, terms, disclosures, and agreements before providing additional information to the Partner.
11. No required use.
You are not required to contact, hire, or work with any Partner. You may choose your own real estate agent, lender, mortgage broker, loan originator, consultant, designer, contractor, or other service provider.
Using DwellSoul does not require you to use any Partner, and acknowledging this disclosure does not create any obligation to use a Partner or proceed with any transaction or service.
12. No responsibility for Partner conduct or losses.
To the fullest extent permitted by law, DwellSoul is not responsible or liable for any act, omission, advice, statement, representation, fee, charge, delay, error, negligence, misconduct, work defect, construction issue, design issue, permit issue, licensing issue, financing issue, transaction issue, loss, damage, claim, dispute, or outcome arising from or related to your contact with, reliance on, engagement of, or dealings with any Partner.
You are responsible for your own due diligence and for deciding whether to contact, hire, rely on, or continue working with any Partner.
Nothing in this disclosure limits any rights or remedies that cannot be limited under applicable law.
13. Additional terms may apply.
Certain Partner categories, services, locations, or transactions may be subject to additional disclosures, eligibility requirements, professional rules, licensing requirements, consumer notices, cancellation rights, or written agreements.
If there is any conflict between this disclosure and a Partner's own legally required disclosures or agreements, the Partner's legally required disclosures or agreements govern your relationship with that Partner, but only as between you and that Partner.
14. Language; English Version Controls.
This Partner Introduction Disclosure may be provided in English and in other languages. Any non-English version is provided for convenience only. To the extent permitted by applicable law, the English version will control if there is any conflict, inconsistency, ambiguity, or difference in interpretation between the English version and any translated version.
Nothing in this section limits any rights you may have under applicable law.
15. Acknowledgment.
By requesting an introduction to a Partner, submitting a service request, clicking a connect button, or proceeding after this disclosure is presented, you acknowledge that you have read and understood this Partner Introduction Disclosure.
You understand that DwellSoul's role is limited to providing information about, introducing you to, or facilitating access to independent third-party Partners, and that any services or transaction relationship is solely between you and the applicable Partner.
